Terms of Service

FUYIN (the “Product” or “Service”) is operated and provided by FUYIN TECHNOLOGY INC (“we,” “us,” or “our”). These Terms of Service (the “Terms”) govern your access to and use of FUYIN. Please read them carefully before using the Product.

1. Acceptance of These Terms

By registering, logging in, connecting a third-party platform account, or otherwise using FUYIN, you agree to be bound by these Terms and any updated versions. If you use the Product on behalf of an enterprise or other entity, you represent and warrant that you have authority to accept these Terms on its behalf.

2. Description of the Service

FUYIN is a creator and affiliate operations platform for TikTok Shop sellers and service providers. It provides tools for creator management, affiliate collaboration, product and order management, and operational workflows. Specific features are subject to the functions actually made available in the Product.

3. Accounts and Security

You agree to provide true, accurate, current, and complete information, to keep it updated, and to protect the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

4. Acceptable Use

When using FUYIN, you agree not to:

• violate applicable laws, regulations, or third-party platform rules;
• misuse, reverse engineer, or interfere with the Product or its security features;
• infringe the rights of others or submit unlawful, deceptive, or harmful content;
• use the Product to send spam or unsolicited communications;
• access data or accounts that you are not authorized to access.

5. Third-Party Platform Authorization and Data Use

To provide certain features, you may authorize FUYIN to connect to TikTok Shop and other third-party platforms. You are responsible for ensuring that you have the right to authorize such access. FUYIN will process authorized data only to provide the Product and related services, within the scope you confirm, and in accordance with our Privacy Policy and the applicable rules of the third-party platform.

You may revoke authorization through the methods provided by the third-party platform at any time. Revoking authorization may limit or disable certain features.

6. User Content

You retain your rights in content you submit or import. You grant us a limited, non-exclusive, revocable license to process your content solely as necessary to provide and improve the Product. You are responsible for the legality and accuracy of the content you submit and for obtaining any necessary rights.

7. Fees and Billing

Certain features of the Product may be offered as paid services. Any fees, billing terms, and payment arrangements will be described in the Product or a separate agreement. You agree to pay all applicable fees in accordance with the applicable terms.

8. Intellectual Property

FUYIN and all related software, technology, design, and content are owned by us or our licensors and are protected by applicable intellectual-property laws. These Terms do not grant you any right or license except the limited right to use the Product as described herein.

9. Privacy and Confidentiality

Our handling of your information is described in our Privacy Policy. You agree that we may process your information in accordance with the Privacy Policy.

10. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, the Product is provided on an “as is” and “as available” basis, without warranties of any kind. We do not warrant that the Product will be uninterrupted, error-free, or free of vulnerabilities.

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Product. Our aggregate liability will not exceed the amounts paid by you to us for the Product in the twelve months preceding the event giving rise to the claim, where applicable.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses arising out of your breach of these Terms, your misuse of the Product, or your violation of applicable law or third-party rights.

12. Termination

You may stop using the Product at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if continued operation creates security or compliance risks. Upon termination, your right to use the Product ends, and the provisions that by their nature should survive will continue in effect.

13. Changes to These Terms

We may update these Terms from time to time. Revised Terms will be posted on this page and will take effect on the date stated. Your continued use of the Product after the effective date constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, unless otherwise required by applicable law. Any dispute arising out of or relating to these Terms or the Product will be resolved through good-faith negotiation and, if necessary, in the courts of competent jurisdiction in Delaware, United States, to the extent permitted by law.
